1. Image servers
1.1. All proofs are stored on an image server, which is a separate software application.
1.2. The image server software can be installed on the same or different hardware as Remote Director.
1.3. If separate hardware is required, this will be supplied and installed by the customer’s preferred Reseller.
1.4. Fees for hardware should be obtained from the customer’s preferred Reseller.
1.5. Users at different locations can all connect to one central image server if desired.
1.6. Customers using ICS’s hosted image server cannot store more than 400 images (per user name and password)
on the server at any one time.
2. Remote Director Creator & Viewer
2.1. Each Remote Director Creator (a) has a unique user name and password, (b) can log in from anywhere in the
world, and (c) is able to both create and view proofs.
2.2. Additional Remote Director Creator user names and passwords can be purchased at any time.
2.3. Each Remote Director Viewer (a) has a unique user name and password, (b) can log in from anywhere in the
world, but (c) can only be used to view, annotate or sign-off on proofs that have already been created. It
cannot be used to create proofs.
2.4. Multiple users can use the same user name and password, but cannot be logged in at the same time. All
notification emails will go to one email address.
2.5. There are no limitations on the number of different users that can be logged into Remote Director at any one
time. An unlimited number of users can log in and view the same proof image at any one time.
2.6. Each proof can contain multiple proof images. A proof image is defined as one computer file or show page of
a document.
3. Automation with ProoFlow
3.1. Remote Director Enterprise can be automated with ICS’s ProoFlow hotfolder application.
3.2. ProoFlow requires a different user name and password than that which is included with Remote Director
Enterprise, so a customer using ProoFlow must have two user names and passwords.
3.3. The ProoFlow price includes the cost of the additional ProoFlow user name and password.
3.4. With ProoFlow, multiple users can use the same ProoFlow user name and password, at the same time.
3.5. There is a ProoFlow fee for each system (workflow system or location) that is automated.
3.6. If a customer wants a third party (e.g. their client) to be able to create proofs on the customer’s image server,
the third party will need to purchase a (a) Remote Director Creator user name and password or (b) ProoFlow.
4. Integration into an existing workflow system
4.1. Remote Director Enterprise can be integrated into a customer’s existing workflow system using (a) a third
party application (e.g. from the relevant OEM or Integrator) or (b) the Remote Director SDK.
4.2. Customers using a third party application also need to purchase an additional Integration user name and
password. So customers that have ProoFlow and workflow integration might have three user names and
passwords.
4.3. Customers that already have a ProoFlow user name and password can use them as their Integration user name
and password, but ProoFlow and the workflow system cannot be used at the same time with the same user
name and password.
5. Annual maintenance for customers that purchase a perpetual license
5.1. The standard annual maintenance fee is 18.5% of all purchased/owned ICS products.
5.2. This annual maintenance fee starts in year two. Invoices will be sent automatically at the start of the 2nd year.
5.3. Customers have up to 30 days after their annual maintenance agreement expires to renew their enrollment.
After this 30 day grace period there is a Reinstatement Charge of 15% of all purchased/owned ICS products.
6. Minor software updates
6.1. From time to time ICS may release small updates to the Remote Director application. This may include
operating system updates, device updates, software updates and manufacturer-required updates.
6.2. Upon release, application updates will be sent to all users automatically when they log in.
6.3. There are no additional fees for minor updates.
7. Major software upgrades
7.1. Subscription customers receive major upgrades for free.
7.2. Perpetual license customers receive major upgrades for free, but must have a current annual maintenance
agreement in order to receive major upgrades.
8. Changing plans
8.1. Subscription customers can change to the perpetual license option at any time. Any unused subscription fees
already paid will be credited towards the revised fees.
8.2. Perpetual license customers cannot change to the subscription option.
9. Subscription terms
9.1. The minimum subscription term is one year.
9.2. Renewal invoices will be sent automatically at the end of the subscription term.
10. On site training and/or installation. Customers requiring training and/or installation should contact their ICS
sales representative or Reseller.
11. License transfer. Subscriptions and perpetual licenses may be transferred to other customers/locations with ICS’s
approval, but only if the maintenance agreement is current.
